1. Introduction

a. GOEMON is a decentralized crypto asset options and derivatives trading protocol governed by Ninjutsu, Corp.

b. Ninjutsu, Corp. operates the web-based application accessible at https://testnet.goemon.xyz, which allows users to access the GOEMON protocol. This application includes an off-chain order book, third-party wallet integration, and a user interface. The application is one of several ways to interact with the GOEMON protocol.

c. These Terms of Use (“Terms”) govern your access to and use of the application. By using the application, you accept these Terms.

d. Definitions:

• “We”, “us”, or “our” refer to Ninjutsu, Corp.

• “You”, “your”, or “user(s)” refer to anyone using the application. If you represent a company, you confirm you have the authority to bind it to these Terms.

2. Eligibility

To use the application, you must:

a. Be at least 18 years of age or the legal age to contract in your jurisdiction;

b. Have the legal capacity to enter into binding contracts;

c. Not have been banned or suspended from the application previously;

d. Not reside in any of the countries listed in Section 5;

e. Comply with all local laws that apply to your use of the application.

3. User Responsibilities

3.1 Representation and Warranties

By using the application, you confirm that:

• You meet the eligibility requirements.

• You are not a Sanctioned Person or a resident/citizen of a Restricted Country.

• You will not use VPNs or similar methods to bypass restrictions.

3.2 Acknowledgements

By accessing the application, you acknowledge:

• The application may become unavailable for various reasons, including technical maintenance, disruptions to blockchain services, or external provider issues.

• We may modify, replace, or discontinue parts of the application at any time.

• You are solely responsible for any transactions or actions involving the GOEMON protocol and associated crypto assets.

4. Prohibited Use

You agree not to:

• Violate any applicable laws while using the application.

• Engage in fraudulent activities or market manipulation.

• Use automated systems (like bots) to interfere with the platform.

• Circumvent security measures or engage in unauthorized access.

• Use the application from any country listed in Section 5.

6. Limitation of Liability

GOEMON provides the application “as is,” and we are not liable for any damages or losses incurred through your use. We are not responsible for any issues arising from blockchain network disruptions, wallet failures, or inaccurate information.
